Registration of business location activities in Private Enterprise

A business location is a place where a private enterprise conducts specific business activities. A private enterprise may establish a business location other than the registered address of its head office or branch.

Within 10 days from the date of deciding to establish a business location, a private enterprise must send a notice of establishment of a business location to the Business Registration Office where the business location is located.

I. Profile components:

1. Notice of establishment of business location (Appendix II-7 form issued with Circular 01/2021/TT-BKHĐT);

Note: The notice of establishment of a business location must be signed by the legal representative of the enterprise in case the business location is under the enterprise or by the head of the branch in case the business location is under the branch.

2. Authorization letter for the person submitting the application and receiving the results in case this person is not the legal representative;

3. A valid copy of one of the following personal identification documents of the authorized person submitting the application (if any):

- For Vietnamese citizens: Valid CCCD card or Vietnamese ID card or Passport.

- For foreigners: Valid foreign passport or document in lieu of a valid foreign passport.

For private enterprises operating under Investment Licenses, Investment Certificates or documents of equivalent legal value:

In case the representative office continues to do business before the announced deadline in the same province or centrally-run city as the private enterprise's head office, in addition to the above documents, it is also necessary to submit:

4. Application for supplementing and updating business registration information (Appendix II-14 form issued with Circular 01/2021/TT-BKHĐT);

5. Copy of Investment License, Investment Certificate (also Business Registration Certificate) or other documents of equivalent legal value

6. Copy of the enterprise's tax registration certificate.

In case the representative office is in a different province or centrally-run city where the private enterprise has its head office The procedure for registering to continue business before the announced deadline for representative offices shall be carried out in accordance with the provisions of Clause 3, Article 97 of Decree 01/2021/ND-CP.

II. Place of submission

Business Registration Office - Department of Planning and Investment where the business is located.

III. Time limit for settlement

- Within 03 (three) working days from the date of receiving complete and valid documents; the Business Registration Office updates information on business locations in the National Database on Business Registration for private enterprises.

- The Business Registration Office issues a Certificate of Business Location Registration to private enterprises in need.

- In case the dossier is invalid, the Business Registration Office shall notify in writing the content that needs to be revised or supplemented to the private enterprise.
