Notes on procedures for establishing a single-member limited liability company
1. Step 1: Draft documents to establish a single-member LLC

2. Step 2: Submit application
- Business registration documents are submitted to the provincial business registration office where the business is headquartered.
- Within 03 (working) days from the date of submission of the application, the Business Registration Authority shall be responsible for reviewing the validity of the business registration application and issuing the Business Registration Certificate within 03 working days from the date of receipt of the valid application.
- In case of refusal to grant a Certificate of Business Registration, the business founder must be notified in writing. The notification must clearly state the reasons and requirements for amendments and supplements to the dossier.
3. Step 3: Announce business registration content
Currently, when submitting the application for establishing a single-member LLC, the applicant also simultaneously pays the fee for publishing the business registration information along with the company establishment application. Therefore, as soon as the company is granted a Business Registration Certificate, the company information is also published on the National Business Registration Information Portal.
Step 4: Carry out the following procedures to establish a single-member LLC
- Engrave company seal;
- Hanging signs at company headquarters;
- Open a corporate bank account and notify the competent state agency;
- Register for digital signature to pay taxes electronically;
- Declare and pay business tax;
- Print and order invoices;
- Contribute capital in full and on time within 90 days from the date of issuance of business registration.
5. Method of submitting application for establishment of a single-member LLC
- Submit the application directly at the one-stop department of the Business Registration Office under the Department of Planning and Investment where the enterprise has its headquarters.
- Register online at the National Business Registration Portal (https://dangkykinhdoanh.gov.vn) using a public digital signature or using a business registration account.
- In case the enterprise wants to raise additional capital from other individuals or organizations, the owner will have to carry out procedures to convert the enterprise type to another type such as a two-member LLC or a joint stock company.
