Changing and adding business lines in Private Enterprises

Changing or adding a business line in a private enterprise is a strategic decision to expand the scope of operations and improve competitiveness. This article will provide detailed guidance on the steps and procedures to be followed to ensure the change process is smooth and in compliance with legal regulations, from preparing documents to submitting to the competent authorities.

In case of any change or addition to the business line, the private enterprise must make a notification within 10 days from the date of change.

I. Profile components:

1. Notice of change in business registration content (Appendix II-1 form issued with Circular 01/2021/TT-BKHĐT);

2. Authorization letter for the person submitting the application and receiving the results if he/she is not the legal representative. This document does not need to be notarized or authenticated;

3. A valid copy of one of the following personal identification documents of the authorized person performing the procedure (if any):

- For Vietnamese citizens: Valid Citizen Identification Card or National Identity Card or Vietnamese Passport.

- For foreigners: Valid foreign passport or document in lieu of a valid foreign passport.

II. Place to submit documents: Business Registration Office - Department of Planning and Investment where the private enterprise has its head office.

III. Resolution period: Within 03 (three) working days from the date of receipt of a complete and valid dossier, the Business Registration Office shall update information on the business lines of the enterprise in the National Database on Business Registration. In case the enterprise has a request, the Business Registration Office shall issue a Certificate of Change of Business Registration Content to the enterprise.

Note: After being granted a Certificate of Change of Business Registration Content, the private enterprise must publicly announce it on the National Business Registration Information Portal (Procedures for changing or adding business lines and procedures for announcing business registration content can be carried out at the same time).
